Welcome to Orderflow. These Terms and Conditions ("Terms") govern the use of the Orderflow platform, website, dashboards, applications, QR ordering systems, and related services ("Services"). By accessing or using Orderflow, you agree to these Terms.
1. Definitions
- Orderflow refers to the Orderflow platform and its operators.
- Restaurant refers to any hospitality business using the platform.
- Customer refers to end users placing orders through the platform.
- Services refers to all software, ordering systems, dashboards, QR systems, integrations, and related tools provided by Orderflow.
2. Eligibility
Restaurants must:
- Be legally authorized to operate.
- Provide accurate registration and business information.
- Be at least 18 years old.
- Comply with all applicable local laws and regulations.
Orderflow reserves the right to approve, reject, suspend, or remove any account at its sole discretion.
3. Restaurant Accounts
Restaurants are responsible for:
- Maintaining the confidentiality of login credentials.
- All activities occurring under their account.
- Ensuring staff access is properly managed.
- Providing accurate menu, pricing, allergen, and operational information.
Restaurants may invite staff members with restricted permissions.
4. Platform Services
Orderflow provides:
- Online ordering systems
- QR ordering systems
- Delivery and pickup ordering flows
- Dine-in and room service ordering
- Dashboard management tools
- Menu management
- Payment integrations
- Analytics and reporting
Orderflow may modify, improve, or discontinue features at any time.
5. Payments
Online payments are processed through third-party payment providers such as Stripe.
Orderflow does not directly hold customer payment funds unless explicitly stated.
Restaurants are responsible for:
- Their connected payment accounts
- Tax obligations
- Refund handling
- Chargebacks and disputes
Orderflow may charge subscription fees or service fees as communicated separately.
6. Commissions and Fees
Unless otherwise agreed in writing:
- Orderflow does not charge commissions on orders.
- Third-party payment providers, such as Stripe or other online payment processors, may charge transaction fees or processing commissions for online payments.
- These third-party processing fees are separate from Orderflow and are determined by the payment provider.
- Subscription pricing and optional service fees may apply.
- Orderflow reserves the right to update pricing with reasonable notice.
7. Restaurant Responsibilities
Restaurants are solely responsible for:
- Food preparation
- Delivery operations
- Product quality
- Allergens and dietary information
- Food safety compliance
- Customer support related to orders
- Accuracy of menus and pricing
Orderflow is not responsible for food quality, delivery delays, or operational issues caused by restaurants.
8. Customer Orders
Customers place orders directly with restaurants through the Orderflow platform.
Restaurants are responsible for:
- Accepting or rejecting orders
- Preparation times
- Order fulfillment
- Refunds where applicable
Orderflow acts solely as a technology platform facilitating order transmission.
9. QR Ordering
Restaurants may generate QR codes linked to:
- Tables
- Hotel rooms
- Pool areas
- Other hospitality locations
Restaurants are responsible for managing QR access and operational usage.
10. Prohibited Use
Users may not:
- Use the platform for illegal activity
- Attempt unauthorized access
- Upload malicious software
- Interfere with platform operations
- Create fraudulent accounts
- Abuse payment systems
- Misrepresent products or services
Orderflow may suspend or terminate accounts violating these Terms.
11. Intellectual Property
All Orderflow branding, software, designs, systems, and intellectual property remain the property of Orderflow.
Restaurants retain ownership of:
- Their logos
- Menu content
- Business information
- Uploaded materials
Restaurants grant Orderflow a license to display such content for platform operation and promotion.
12. Data and Privacy
Orderflow processes data in accordance with applicable privacy laws.
Restaurants are responsible for ensuring compliance with local regulations regarding customer communications and data handling.
A separate Privacy Policy governs personal data processing.
Orderflow support staff may access restaurant accounts for troubleshooting and support purposes, only when access has been granted by the restaurant or where reasonably necessary to maintain or restore the service.
13. Availability of Service
Orderflow aims to maintain reliable uptime but does not guarantee uninterrupted availability.
Maintenance, updates, outages, or third-party service interruptions may occasionally occur.
14. Limitation of Liability
To the maximum extent permitted by law, Orderflow shall not be liable for:
- Indirect or consequential damages
- Loss of profits
- Delivery failures
- Restaurant operational issues
- Third-party payment provider issues
- Data loss caused by external services
- Customer disputes
Orderflow's total liability shall not exceed the amount paid by the restaurant to Orderflow during the previous 3 months.
15. Indemnification
Restaurants agree to indemnify and hold harmless Orderflow from claims, liabilities, damages, and expenses arising from:
- Restaurant operations
- Food safety issues
- Customer disputes
- Regulatory violations
- Misuse of the platform
16. Suspension and Termination
Orderflow may suspend or terminate accounts for:
- Violation of these Terms
- Fraudulent activity
- Payment failures
- Abuse of the platform
- Legal or regulatory concerns
Restaurants may stop using the platform at any time.
17. Modifications
Orderflow may update these Terms from time to time.
Continued use of the platform after updates constitutes acceptance of the revised Terms.
18. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which Orderflow is legally established.
